Helping a City of London assurance business improve its acquisition process and retain the knowledge, capability and value gained through major investments.

Following a series of acquisitions worth more than $1 billion, the business found that much of the knowledge and intellectual property gained through those acquisitions was being lost within six months.
JBA was brought in to review the acquisition process from initial selection through due diligence and post-merger integration, with the goal of creating a more effective and sustainable approach.

Project Description - Creating a Stronger Acquisition and Integration Process

Acquisitions can provide organizations with valuable expertise, intellectual property, market position and growth opportunities. However, capturing that value requires more than completing the transaction itself.

A City of London assurance business had completed acquisitions exceeding $1 billion, but the expected long-term benefits were not being fully realized.

Within approximately six months of acquisition, important knowledge and intellectual property were often no longer being retained within the organization.

JBA was engaged to examine the full acquisition lifecycle and identify where the existing process could be strengthened.

The review extended from the initial identification and selection of acquisition targets through due diligence, transaction activity and the post-merger change process.

The Challenge - Protecting the Value of Major Acquisitions

The primary challenge was not the organization’s ability to acquire businesses.

The challenge was ensuring that the expertise, intellectual property and commercial value acquired through those transactions became fully embedded within the wider organization.

The existing process needed to consider more than financial and legal due diligence.

Factors such as organizational change, brand value, stakeholder involvement and market speculation also had the potential to influence whether an acquisition ultimately delivered its intended value.

JBA’s task was to create a broader and more integrated acquisition process capable of supporting the organization before, during and after the transaction.

JBA's Approach

End-to-End Process Review

JBA reviewed the acquisition process from the initial selection of potential targets through due diligence and into the post-merger integration period. This helped identify where knowledge, ownership and accountability could be lost during the transition.

Broader Stakeholder Involvement

The acquisition process was redesigned to involve a wider group of stakeholders. This created greater organizational awareness and helped ensure that commercial, operational, cultural and strategic considerations were addressed alongside traditional transaction requirements.

Structured Post-Merger Integration

Greater emphasis was placed on what happened after the acquisition was completed. The revised process considered factors including organizational change, brand value and market perception while creating a clearer framework for integrating acquired businesses into the wider organization.

Results & Impact - Moving From Acquisition to Integration

JBA redrafted the acquisition process to provide a more comprehensive framework for selecting, evaluating and integrating acquired businesses.

The revised approach was then tested across two acquisitions over a 12-month period.

Both acquired companies were successfully embedded within the organization, demonstrating that greater stakeholder involvement and stronger post-merger planning could help protect the value created by the original investment.
